# Acquisition Terms

### Preamble

These Acquisition Terms govern the relationship between VAS (ڤاس), a curated singular-ownership art marketplace operating in Cairo, Arab Republic of Egypt, and any individual who browses, inquires about, or acquires an artwork through the VAS platform. By accessing the platform or initiating an acquisition — whether through self-serve checkout or a curator-managed close — the collector accepts these terms in full.

VAS is not a retailer. It is an intermediary platform operating under formal consignment agreements with each listed artist. Every artwork on VAS is an original, unique physical work. There are no editions, no prints, and no reproductions of any kind. When a work sells, it is permanently withdrawn from the catalogue.

These terms are governed by the laws of the Arab Republic of Egypt, including the Egyptian Civil Code (Law No. 131 of 1948) and applicable Egyptian commercial legislation.

### 1. Definitions

**VAS** — the platform, VAS (ڤاس), operated as a sole proprietorship, based in Cairo, Arab Republic of Egypt.

**The Collector** — any individual who accesses the VAS platform, submits a request to acquire, or completes a purchase transaction.

**The Artist** — the individual creator who has entered into a formal Artist Partnership Agreement with VAS and whose work is listed on the platform under the terms of that agreement.

**The Artwork** — an original, singular, physical painting or work listed on the VAS platform. Each Artwork is listed once, sold once, and permanently removed from the catalogue upon a Confirmed Sale.

**Listing Price** — the price of the Artwork as displayed on the platform, expressed in Egyptian Pounds (EGP), exclusive of VAT.

**Sale Price** — the final price paid by the Collector for the Artwork, exclusive of VAT.

**Confirmed Sale** — a sale is confirmed on the date that full, cleared payment from the Collector is received in VAS's designated account.

**Curator Close** — the acquisition process applicable to works priced at 10,000 EGP or above, managed personally by a VAS curator from inquiry through to completed transfer.

**White-Glove Service** — the premium acquisition process applicable to works priced at 200,000 EGP or above, managed by a dedicated senior curator with full end-to-end service including private viewing coordination and installation.

**Certificate of Authenticity** — the formal document issued by VAS upon a Confirmed Sale, confirming the work's originality, the artist's identity, and the singularity of ownership.

### 2. The Nature of the Platform

VAS operates as a curated marketplace and consignment agent — not as the owner of the artworks listed on its platform. Each work is listed under a formal Artist Partnership Agreement that governs the terms of the artist-platform relationship independently of the collector-platform relationship.

The platform is Shariah-compliant by curation. All works adhere to the aniconic tradition — no figurative depiction of living beings, including human faces, human figures, or animals. This is a permanent curatorial standard, not a category filter.

VAS exercises sole discretion over which works are listed, how they are presented, and how long they remain available. The platform reserves the right to withdraw any listing at any time prior to a Confirmed Sale without obligation to any party other than the Artist under the terms of their signed Agreement.

### 3. Authenticity Guarantee

VAS guarantees that every work listed on the platform is:

- An original, singular physical artwork — not a print, edition, or reproduction of any kind.
- The sole, unencumbered creative work of the listed artist, who has warranted this in writing under the Artist Partnership Agreement.
- Free from any prior claims, liens, or third-party interests at the time of listing.
- Compliant with Egyptian law and VAS's Shariah-compliance standards.

Each Confirmed Sale is accompanied by a VAS Certificate of Authenticity, issued under VAS's authority and archival record. The Certificate states the work's title, medium, dimensions, year of creation, the artist's name, and the date of acquisition. It confirms that the work is one-of-one and that no reproduction will be issued in any form, in perpetuity.

Slight variation between the digital photography of a work and its physical appearance is inherent to original art and the nature of screen display. VAS photographs every work to the highest achievable standard and represents each work accurately. Such variation does not constitute misrepresentation.

### 4. Acquisition Flow — Self-Serve (Under 10,000 EGP)

Works priced below 10,000 EGP are available for direct purchase through the VAS platform.

**4.1 Order Placement**
The Collector selects the work and proceeds to checkout. Providing payment details and confirming the order constitutes a formal offer to acquire the Artwork at the displayed Listing Price plus VAT.

**4.2 Payment Processing**
All self-serve payments are processed exclusively through Paymob, VAS's designated payment gateway. VAS does not store, access, or process card numbers directly. Payment is considered received upon Paymob's confirmation of cleared funds.

**4.3 Order Confirmation**
Upon cleared payment, VAS sends an order confirmation to the email address provided by the Collector. This confirmation marks the Confirmed Sale. The Artwork is immediately and permanently withdrawn from the catalogue.

**4.4 Delivery**
VAS arranges and funds delivery of the Artwork to the Collector's address within Cairo governorate. Delivery is completed within five business days of the Confirmed Sale. The Collector will be notified of the delivery window by the contact channel provided at checkout. Risk of damage transfers to the Collector upon successful delivery.

**4.5 Delivery Scope**
Current delivery operations are limited to addresses within Cairo governorate. Acquisitions from outside Cairo require direct curator contact prior to checkout.

### 5. Acquisition Flow — Curator Close (10,000 EGP and Above)

Works priced at 10,000 EGP or above do not proceed through self-serve checkout. The acquisition is initiated through the Request to Acquire process and managed personally by a VAS curator.

**5.1 Initiating the Request**
The Collector submits the Request to Acquire form on the work's listing page. The form requires the Collector's name, contact number, and email address. Submission of the form does not constitute a binding commitment on either side; it opens a formal dialogue.

**5.2 Curator Contact**
A VAS curator will contact the Collector within one business day of receiving the request. The curator will confirm the work's availability, discuss provenance, and — where the Collector requests it — arrange a private viewing prior to the acquisition decision.

**5.3 Private Viewing**
Private viewings are offered for works in the Featured and Collector tiers (50,000 EGP and above) subject to logistical availability. Viewings are conducted by appointment at a location determined in consultation with the Collector. No viewing fee applies.

**5.4 Payment**
Payment for Curator Close acquisitions is arranged through the curator directly. No payment is processed without the Collector's explicit confirmation. VAS will communicate the exact amount — including VAT — prior to any payment being initiated.

**5.5 Confirmed Sale**
The sale is confirmed on the date full cleared payment is received in VAS's designated account. The Certificate of Authenticity is issued, the Artwork is withdrawn from the catalogue, and delivery or handover arrangements are confirmed with the Collector.

### 6. White-Glove Service (200,000 EGP and Above)

Works in the Collector tier, priced at 200,000 EGP or above, are handled under VAS's White-Glove Service. This is the platform's highest standard of acquisition management.

White-Glove Service includes:

- A dedicated senior VAS curator managing every stage of the acquisition from first contact through to completed transfer.
- A full professional photography and documentation package for the Collector's records.
- Private viewing coordination at a location and time suited to the Collector.
- Delivery, handling, and — where requested — installation at the Collector's Cairo address.
- Luxury packaging appropriate to the value and scale of the work.
- A detailed Certificate of Authenticity including the work's exhibition history, the artist's biography, and the full acquisition record.
- An optional introductory meeting between the Artist and the Collector, facilitated by VAS, to establish the personal context of the work.

All White-Glove communications are conducted directly between the Collector and the assigned curator. No aspect of a White-Glove acquisition is automated.

### 7. Pricing and Value Added Tax (VAT)

All prices displayed on the VAS platform are expressed in Egyptian Pounds (EGP) and are exclusive of Value Added Tax (VAT).

VAT is applied at the current Egyptian statutory rate of 14% on the full Sale Price. VAS, as the registered business entity, is solely responsible for calculating, collecting, and remitting VAT to the Egyptian Tax Authority. The Collector bears no administrative VAT obligation beyond payment of the VAT-inclusive total at checkout or as confirmed by the curator.

The Listing Price is fixed for the duration of the work's active listing and may not be altered at the point of or after an acquisition is initiated. VAS does not offer discounts, negotiated reductions, or promotional pricing of any kind. The integrity of the listed price is a structural commitment of the platform.

### 8. Delivery, Handling, and Risk

**8.1 Delivery Scope**
VAS currently delivers within Cairo governorate only. This is not a limitation of the platform's ambition; it is a commitment to the standard of handling that original artworks require. Delivery beyond Cairo is available by arrangement through a curator and may involve additional logistical coordination.

**8.2 Delivery Timeline**
Delivery is completed within five business days of the Confirmed Sale for self-serve acquisitions. For Curator Close and White-Glove acquisitions, the delivery or handover timeline is confirmed with the Collector directly.

**8.3 Handling Standards**
Every work is packed and transported with the care appropriate to an original artwork. Works in the Collector tier (200,000 EGP and above) are handled under White-Glove logistics with luxury packaging and installation support.

**8.4 Transfer of Risk**
Risk of loss or damage transfers from VAS to the Collector at the point of successful delivery to the Collector's address. Upon delivery, the Collector is advised to inspect the work and note any concerns immediately. For high-value works, a condition report at the point of delivery is standard practice and is encouraged.

**8.5 Delivery Failure**
If delivery cannot be completed due to the Collector's unavailability or inaccessibility of the delivery address, VAS will make reasonable attempts to rearrange. If delivery cannot be completed within ten business days of the Confirmed Sale, VAS will contact the Collector to agree a resolution.

### 9. Intellectual Property

Acquisition of a physical artwork through VAS transfers ownership of the physical object only. It does not transfer copyright, reproduction rights, or any other intellectual property rights in the Artwork.

The Artist retains full copyright in the work in perpetuity. The Collector may not reproduce, copy, print, digitally distribute, commercially exploit, or sub-license the image of the Artwork in any form without the Artist's explicit written consent.

The Collector is welcome to photograph the work for personal documentation and to share images on social or personal channels, provided that attribution to the Artist and to VAS is included.

VAS retains a perpetual, royalty-free licence to use the professional photographs of the Artwork for archival, marketing, and promotional purposes, as established under the Artist Partnership Agreement. This licence persists after the sale and does not require the Collector's consent.

The VAS name, wordmark, logotype, and all associated brand assets are the intellectual property of VAS. No use of VAS's brand assets is permitted without written approval.

### 10. Platform Use and Conduct

Access to and use of the VAS platform is subject to the following conditions:

- The Collector confirms they are of legal age to enter into a commercial transaction under Egyptian law (18 years or above).
- The Collector provides accurate and complete information at the point of checkout or inquiry. Misrepresentation of identity or contact details may result in the cancellation of the acquisition and referral to relevant authorities.
- The Collector does not use the platform in any manner that disrupts its operation, infringes the rights of artists or other parties, or violates Egyptian law.
- Fraudulent payment attempts, chargebacks initiated without legitimate grounds, and any attempt to circumvent the platform's acquisition process are treated as material breaches and referred to the Egyptian Tax Authority and law enforcement under applicable Egyptian commercial legislation (Commercial Law No. 17 of 1999).

VAS reserves the right to decline any acquisition request, cancel any order prior to a Confirmed Sale, and restrict platform access at its sole discretion and without obligation to provide reason.

### 11. Limitation of Liability

VAS's liability in connection with any acquisition is limited to the Sale Price of the specific Artwork involved. VAS is not liable for indirect, consequential, or incidental losses arising from any delay, delivery failure, or other circumstance beyond its direct control.

VAS is not liable for losses arising from the Collector's failure to inspect the work upon delivery, failure to notify VAS of visible damage within the applicable window, or failure to provide accurate delivery information.

In all cases, VAS's liability is capped at the Sale Price of the Artwork. Nothing in these terms limits VAS's liability for fraud or for death or personal injury caused by VAS's negligence.

### 12. Amendments and Updates

VAS reserves the right to amend these Acquisition Terms at any time. The terms applicable to any acquisition are those in force at the date the Confirmed Sale is recorded. Amendments do not apply retroactively to completed acquisitions.

### 13. Governing Law and Jurisdiction

These Acquisition Terms are governed exclusively by the laws of the Arab Republic of Egypt, including the Egyptian Civil Code (Law No. 131 of 1948) and applicable Egyptian commercial legislation. Any dispute arising from or in connection with these terms shall be subject to the exclusive jurisdiction of the competent Egyptian courts, Cairo.

### 14. Contact

All acquisition inquiries, curator requests, and formal correspondence are directed to the VAS curator channel. VAS does not operate a general-public telephone line. Contact is initiated through the platform's Request to Acquire form or via the designated curator email published on the platform.
